Governança Corporativa em Cooperativas de Saúde: Um Estudo de Caso na Unimed Fortaleza

RESUMO
A adoção de práticas de governança corporativa já é obrigatória em empresas elencadas no mercado mobiliário, mas, em empresas classificadas como cooperativa no ramo de assistência médica, não. A Unimed Fortaleza, mesmo não possuindo uma exigência legal, adota as práticas de governança para atender as exigências dos stakeholders. Utilizou-se para coleta de informações os relatórios de gestão, estatuto social e código de conduta ética. O levantamento das informações foi realizado por meio dos relatórios de gestão e sustentabilidade concernentes aos períodos de 2007 e 2015, que compreendem dois momentos singulares na existência da empresa no que tange à composição gerencial e modelos de relatórios de gestão. Fez-se uma análise comparativa nestes dois períodos, no intuito de averiguar a existência de alguma diferença significativa no escopo gerencial, que pudesse ter sido marcante nestes dois momentos da empresa, observando os pilares da governança corporativa, quais sejam: propriedade, conselho de administração, gestão, órgãos de fiscalização e controle, e conduta e conflito de interesses. Concluiu-se, após análise, que a abordagem gerencial abordada no período de 2015 possuiu mais clareza, concisão, transparência e prestação de contas, comparando-se com o período de 2007.
